Movie Song Needs -------------------------------------------------------------------------------- 1. Happy New Years! We hope everyone had a wonderful Christmas and a Happy New Year! We'd like to welcome all of the new subscribers. We thank you for your interest in us. -------------------------------------------------------------------------------- 2. Quick Update Many of you may have asked why we have been so quite over the last several months. We want to ensure everyone that we are still working hard. Lately most of our work has been involved with our film production company, Spin Cycle Films. We've also been pitching songs and spent this past Christmas shopping season promoting the "Tiny Angels" Christmas CD. Many things are happening in the film industry that have an influence on our music publishing activities. Music supervision in films has opened a new path to get songs into movies. In the past, we've pitched songs to music supervisors. Now I will be the music supervisor and will looking for songs for upcoming movies and television commercials. Building a broader playing field in the music and film industry is setting the stage for new opportunities in 2005. -------------------------------------------------------------------------------- 3. "Tiny Angels - Songs Of Christmas Joy" CD The "Tiny Angels - Songs Of Christmas Joy" CD did not have the expected sales compared to last year. Most of the sales last year were from family and friends of the songwriters (and ours). Our biggest hurdle has been not having a name writer, artist or song on the CD. What we hear the most is either "who's on it" or "I've never heard of these songs". Our goal for 2005 is to have an answer to these questions which will increase CD sales. There are great songs on this CD and opportunities are out there...and we will find them! -------------------------------------------------------------------------------- 4. Music Publishing Our publishing companies are constantly seeking places to pitch your songs. It's been a challenging road, but we are driven to get these songs cut. We are looking at more opportunities with major and independent labels in the International market. We are making a few minor changes in the types of songs we will accept, how we will manage song submissions and how we communicate with songwriters. We will no longer have open submissions. All submissions will be directly for the song needs that we post. These postings will also be updated more frequently. If we feel a song submission matches one of our song needs, we will offer a single-song publishing contract. In the past our contracts offered a 12 month reversion clause. Going forward the reversion clause will depend on the potential of the song and the agreed terms with the songwriters. The reversion clause can very from three to 24 months. We will continue to use the Songwriters Guild of America publishing contract. We are going to handle movie songs needs slightly different. If we have an opportunity to place a song that is already in our catalog we will follow the terms of the publishing contract. Now, if an opportunity occurs and we can place a new song not currently in our catalog, we will negotiate with the songwriter or composer an Administrative Deal or a single-song publishing contract. An Administration Deal with the songwriter or composer will allow the songwriter to retain 100% ownership of their song. As the administrator, we will collect and distribute royalties, handle the various paperwork involved (i.e., BMI/ASCAP song title registrations, copyright applications, the issuance of licenses, etc.). We will negotiate with the songwriter an administration fee ranging between 10-20%. -------------------------------------------------------------------------------- 5. Bramsar Records Since the launch of the "Tiny Angels - Songs of Christmas Joy" Christmas CD, Bramsar Records has been riding under the radar. We have decided not sign a new artist until we are able to fully promote the artist. We will send out an official press release when we sign our first artist. -------------------------------------------------------------------------------- 6. Spin Cycle Films Some of our subscribers are already familiar with our movie production company, Spin Cycle Films. We started Spin Cycle Films last April and have been busy getting this company off the ground. In June 2004 we produced one short film entitled "The Spin Cycle" written by Jamie Preyer and Directed by Chris Ohlson. I was the Music Supervisor and licensed Don Williams' hit song "It Must Be Love" written by Bob McDill. "The Spin Cycle" was accepted to the "WESTfest Film Festival" in Abilene, TX this past September. The film has also been accepted to the "New York New Filmmaker Series" and will show on March 23. Spin Cycle Films is a fully functioning movie production company. We are currently in pre-production on a full feature film entitled "Jessie's Dream Snake". Willie Nelson has verbally agreed to play a character and we planning to shoot scenes at Willie's western town when filming starts. -------------------------------------------------------------------------------- 7.
